Purpose: The purpose of the Governance Committee (GC) is to protect, preserve, and interpret the rules and regulations of the LCA and keep the Board apprised of relevant legal authority applicable to a non-profit/not for profit corporations. At any time, any LCA member may ask the GC for a formal opinion on a rules interpretation. That interpretation will be forwarded to the board for consideration and possible ratification.
Composition: Only the Board may appoint GC members. The GC shall be comprised of 3 - 7 members. Each year, or upon vacancy of the position, the GC shall appoint a chair from among its members subject to ratification by the Board at the annual meeting but prior to the general meeting. Terms of office shall be three (3) years, and shall be staggered so that no more than three (3) members go off the GC each year. The GC may also utilize approved associate (non-voting) members at its discretion. There is no current limit on the number of associate's that the GC may appoint.
